Negotiated Rate Formula:  Pricing Source:

Receipt Point Index Price (“RPIP”):  For receipts at Brookfield, the RPIP shall be the price reported in Gas Daily’s “Midpoint” for “Algonquin, city-gates” in the “Northeast” section of the “Daily Price Survey ($/MMBtu)”.  For receipts at all other points, the RPIP shall be $0.25/Dt.

Delivery Point Index Price (“DPIP”):  For deliveries to points north of Brookfield using Brookfield as the receipt point, the DPIP shall be the price reported in Gas Daily’s “Midpoint” for “Iroquois, receipts” in the “Northeast” section of the “Daily Price Survey ($/MMBtu)”.   For deliveries to points south of Brookfield in combination using Brookfield as the receipt point, the DPIP shall be $100.00/Dt.  The DPIP applicable to all delivery points using a non-Brookfield receipt point shall be $100.00/Dt.

In the event that Gas Daily is not published, the index prices for the immediately following publication day shall be used.  Otherwise, Transporter and Shipper shall use the Gas Daily Midpoint published covering the period of the Gas Flow Day.

Measurement Variance/Fuel Use:  For purposes of calculating the Daily Demand Rate, the Measurement Variance/Fuel Use Factor is converted from a percent to decimal and the assumption is that the dollars/cents equivalent of the factor is equal to the decimal form.

Daily Demand Rate:  The applicable Daily Demand Rate shall be calculated on a daily basis as follows:  Daily Demand Rate shall equal 80% of [DPIP, less applicable, Transporter’s FERC Gas Tariff variable charges (including ACA, Commodity and Measurement Variance/Fuel Use Factor) less RPIP].  Notwithstanding the foregoing, in no event shall the Daily Demand Rate be less than $0.10/Dth.

At any time during the Term of the Agreement, Transporter and Shipper may mutually agree to amend the rate and establish a fixed Daily Demand Rate; however, prior to taking affect the amendment will be filed with FERC and be subject to its approval.

To the extent Transporter is unable to provide transportation services on any given day, the Daily Demand Rate for any nominated volume that is not ultimately scheduled shall be $0.10/Dth.  Otherwise, the Daily Demand Rate shall remain in effect for all scheduled gas.

This capacity is subject to an existing shipper’s pre-arranged deal.
